Gnosis Forge operates as a registered FINRA Funding Portal (CIK 0002047021). We support Reg CF (max $5M, open to all), Reg D 506(c) (accredited only, no cap), and Reg A+ (launching Q2 2027, max $75M). All funds are held in milestone-gated escrow via Stripe Connect. Milestones require creator + mentor + auditor attestation before release.
Creators access Forge Studio — a purpose-built AI workspace integrating GPT-4o (OpenRouter) for pitch writing, DALL-E 3 for product visualization, and ElevenLabs for voice demos. The studio generates SEC-compliant disclosures, risk factor language, and Form C drafts, reducing legal preparation time by an estimated 60%.
Platform fee: 8% of successfully funded campaigns (0% on failures). Creator receives 92% immediately after milestone release. Stripe Connect handles payout rails. At $50M in annual GMV (2027 target), platform revenue = $4M. At $200M GMV (2029 target), revenue = $16M. No venture debt. Path to profitability at $40M GMV.
