Terms of Service

1. Acceptance of Terms
By accessing or using Gnosis Forge ("Forge," "we," "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the platform. Forge is operated by Gnosis Forge Inc., a Delaware corporation ("the Company").
2. Eligibility
You must be at least 18 years old and able to form a binding contract under U.S. law. Creators (campaign owners) must additionally pass identity verification (KYC), background screening (SEC Rule 503 bad-actor disqualifications), and any KYB checks required by our payment partners.
3. Account Security
You are responsible for safeguarding your credentials. You agree to enable two-factor authentication for accounts receiving funds. Notify us immediately at security@gnosisforge.com if you suspect unauthorized access.
4. Crowdfunding & Investment Activity
Forge hosts (a) rewards-based crowdfunding campaigns and (b) Regulation Crowdfunding (Reg CF), Regulation D, and Regulation A+ offerings conducted through a registered funding portal. Forge is not a broker-dealer; we do not provide investment, legal, or tax advice. Investing in early-stage ventures involves a high risk of loss, including total loss of principal.
5. Payments & Escrow
Payments are processed by Stripe, Inc. ("Stripe"). By using Forge to send or receive funds, you also agree to the Stripe Connected Account Agreement and Stripe Services Agreement. Contributions to rewards-based campaigns are held in escrow until milestones are met. Forge does not custody fiat funds directly; Stripe is the custodian of record.
6. Platform Fees
Forge charges a platform fee of 5% of successfully raised funds for rewards campaigns, plus standard Stripe payment processing fees (2.9% + $0.30 per transaction). Fees for Reg CF/D/A+ offerings are disclosed in the offering's Form C/D/1-A as filed with the SEC. Creators are paid out via Stripe Connect after milestone release.
7. Prohibited Activity
You will not use Forge in connection with any business prohibited by our Acceptable Use Policy, including firearms, controlled substances, adult content, gambling, or businesses on Stripe's restricted list.
8. Intellectual Property
You retain ownership of content you submit. You grant Forge a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content as necessary to operate the platform. The Forge name, logo, and platform code are owned by the Company.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FORGE DOES NOT GUARANTEE THE SUCCESS, DELIVERY, OR QUALITY OF ANY CAMPAIGN. WE DO NOT ENDORSE ANY CREATOR OR INVESTMENT.
10. Limitation of Liability
To the maximum extent permitted by law, the Company's aggregate liability for any claim arising out of these Terms shall not exceed the fees paid to Forge by you in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
11. Termination
We may suspend or terminate your account at any time for violations of these Terms, for compliance reasons, or at our reasonable discretion. You may delete your account by emailing support@gnosisforge.com.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware.
